Project – Corporate Governance Practices and Their Influence on Business Sustainability in Nigeria. A Study of Dangote Groups
CHAPTER ONE
INTRODUCTION
1.1 Background of the Study
Corporate governance has become a critical issue in contemporary business management, particularly in the face of increasing globalization, corporate scandals, and the growing demand for accountability and transparency in organizational operations. Corporate governance refers to the system of rules, practices, and processes by which companies are directed and controlled. It defines the relationships among shareholders, management, boards of directors, and other stakeholders, and it provides the structure through which organizational objectives are set and performance is monitored (OECD, 2015).
Globally, strong corporate governance is recognized as a key driver of business sustainability. Business sustainability involves the ability of an organization to operate profitably over the long term while responsibly managing economic, social, and environmental impacts. Sustainable businesses are those that balance profitability with ethical conduct, risk management, compliance with regulations, and social responsibility. Effective corporate governance ensures that companies adopt prudent decision-making processes, maintain stakeholder confidence, and withstand economic and operational challenges.
In Nigeria, the importance of corporate governance has gained prominence due to past corporate failures, financial mismanagement, and weak regulatory enforcement in both public and private organizations. These challenges have led to reforms aimed at strengthening governance frameworks, such as the introduction of the Nigerian Code of Corporate Governance (2018). The Code emphasizes accountability, transparency, board effectiveness, risk management, and ethical business practices as essential components for sustainable corporate performance.
The Dangote Group, one of Africa’s largest and most diversified conglomerates, provides a relevant case study for examining the influence of corporate governance on business sustainability. Founded by Aliko Dangote, the Dangote Group operates across several sectors, including cement manufacturing, sugar refining, salt processing, flour milling, oil and gas, and petrochemicals. The Group’s sustained growth, resilience, and expansion within Nigeria and across Africa have been attributed, in part, to structured governance practices, strong leadership, and strategic oversight.
As a large conglomerate with significant economic influence, the Dangote Group faces complex governance challenges, including regulatory compliance, stakeholder management, risk control, and succession planning. Its operations require effective board oversight, transparent financial reporting, and robust internal control systems to ensure sustainability. The Group’s emphasis on corporate governance aligns with global best practices and Nigerian regulatory expectations, making it a suitable organization for studying the relationship between governance practices and long-term business sustainability.
Despite the acknowledged importance of corporate governance, empirical studies examining its direct influence on business sustainability in Nigerian conglomerates remain limited. Many studies focus on financial performance or compliance issues, with less attention given to sustainability outcomes such as long-term growth, operational stability, and stakeholder trust. This study therefore seeks to examine corporate governance practices and their influence on business sustainability in Nigeria, using the Dangote Group as a case study.
1.2 Statement of the Problem
Business sustainability remains a major challenge for many organizations in Nigeria due to economic volatility, regulatory uncertainty, weak institutional frameworks, and governance deficiencies. Numerous Nigerian companies have collapsed or experienced severe operational difficulties as a result of poor corporate governance practices, including weak board oversight, lack of transparency, unethical management behavior, and inadequate risk management systems.
Although the Dangote Group has achieved remarkable growth and longevity in a challenging business environment, questions remain regarding the extent to which its corporate governance practices contribute to its sustainability. While governance structures may exist, the effectiveness of these practices in ensuring long-term stability, ethical conduct, and resilience against economic shocks requires systematic academic examination.
Furthermore, most existing studies on corporate governance in Nigeria focus on publicly listed firms in the banking and manufacturing sectors, often emphasizing financial performance rather than sustainability. There is limited empirical research that specifically examines how corporate governance practices influence broader sustainability outcomes such as operational continuity, strategic growth, stakeholder confidence, and corporate reputation within large private conglomerates like the Dangote Group.
The problem addressed by this study is the limited empirical understanding of the relationship between corporate governance practices and business sustainability in Nigerian conglomerates. By focusing on the Dangote Group, this study seeks to assess whether effective corporate governance practices significantly influence business sustainability and to contribute to the body of knowledge on governance and sustainable business management in Nigeria.
